Overview
These terms govern the relationship between NXTECZA ("we", "the company") and clients who engage our services. By commissioning work from us, you agree to these terms. Specific project terms (scope, price, timeline) are set out in individual project proposals and supersede these general terms where they conflict.
Scope of Services
We provide web design, website development, software development, maintenance, and performance optimization services as described in individual proposals. Any work outside the agreed scope will be discussed and priced separately before being undertaken.
Payment
Payment terms are set out in project proposals. Typically we require a deposit before work begins and a final payment before delivery. Work is not delivered until payment is received unless otherwise agreed in writing.
Intellectual Property
On receipt of full payment, the client receives full ownership of all custom code, designs, and assets produced for their project. We retain the right to display the work in our portfolio unless the client requests otherwise in writing.
Third-party libraries and open-source software used in your project remain subject to their respective licences, which we will document in project handover materials.
Client Responsibilities
The client is responsible for providing accurate information, timely feedback during agreed review windows, and any content (copy, images, branding) required for the project. Delays caused by late client feedback may affect the delivery timeline.
Limitation of Liability
To the maximum extent permitted by applicable law, NXTECZA's total liability to any client for any claim arising out of our services is limited to the fees paid for the specific project to which the claim relates.
We are not liable for indirect or consequential losses, including loss of profit or data, even if we were advised of the possibility of such losses.
Confidentiality
We treat client information as confidential and do not share it with third parties except as necessary to deliver the agreed services. Clients are asked to treat any pricing information or proposal details as confidential.
Governing Law
These terms are governed by the laws of Sri Lanka. Any disputes that cannot be resolved by mutual agreement will be subject to the jurisdiction of Sri Lankan courts.
